1. Acceptance of Terms
1.1 These Terms of Service ("Terms") are a contract between Lucas Kelley ("we", "us", "our") and you ("you"). They govern your use of the Notarra mobile application and related websites (including notarra.com).
1.2 By installing, accessing, or using Notarra, you agree to these Terms and our Privacy Policy.
1.3 If you are under the age of 16, you may not use Notarra. (This helps us comply with EU and U.S. child privacy rules.)
2. Description of Service
2.1 Notarra is a voice-first note-taking and mind mapping app. It lets you record voice notes (transcribed to text), organize ideas on a visual canvas, and manage tasks.
2.2 Core features include: voice transcription (via OpenAI APIs), visual mind maps, due dates and priorities, accessibility options, and secure cloud sync (via Supabase).
2.3 We may update features or fix bugs over time. Some features may change or be removed to improve performance or security.
3. User Accounts and Registration
3.1 You need an account to use most features. Please provide accurate and up-to-date information.
3.2 Keep your login safe. You are responsible for all activity under your account.
3.3 If you think your account was accessed without permission, contact us right away at contact@notarra.com.
4. User Responsibilities and Acceptable Use
4.1 You agree to use Notarra lawfully and respectfully.
4.2 You must not try to access someone else's account or data.
4.3 You agree to follow all app store rules (Apple App Store and Google Play) and all applicable laws in your country.
4.4 If you connect any third-party services (now or in the future), you are responsible for those connections and any data shared.
5. Intellectual Property Rights
5.1 We own the Notarra app, the code, design, logos, and all related intellectual property. These are protected by copyright, trademark, and other laws.
5.2 We grant you a limited, personal, non-exclusive, non-transferable license to install and use the app for your own purposes, in line with these Terms.
5.3 You may not copy, sell, or distribute the app or any part of it unless we give you written permission.
6. User Content and Ownership
6.1 You own your content. Your notes, categories, and other content you create in Notarra are yours.
6.2 To run the service, you give us a limited license to store, process, and transmit your content only to provide Notarra's features (for example, syncing your notes across your devices).
6.3 We do not claim ownership of your content and we do not sell it.
7. Prohibited Activities
You agree not to:
7.1 Illegal use: Use Notarra for anything unlawful or harmful.
7.2 Unauthorized access: Access or attempt to access accounts, systems, or data that are not yours.
7.3 Reverse engineering: Decompile, disassemble, or try to get the app's source code (unless allowed by law).
7.4 Data scraping: Scrape, harvest, or collect data from Notarra without permission.
7.5 Malicious content: Upload viruses, malware, or any content that damages devices or networks.
7.6 Service abuse/overload: Interfere with or overload our servers or networks.
7.7 Impersonation: Pretend to be another person or entity.
7.8 Spam or harassment: Send spam, threats, or abusive messages.
7.9 Violation of others' rights: Infringe on privacy, intellectual property, or other legal rights.
8. Service Modifications and Availability
8.1 We work to keep Notarra reliable, but downtime can happen (for maintenance, security updates, or outages).
8.2 We may add, change, or remove features to improve the service.
8.3 Force Majeure: We are not responsible for delays or failures caused by events beyond our control, such as natural disasters, power or internet failures, acts of government, labor disputes, cyberattacks, or platform outages.
9. Fees and Payment (if applicable)
9.1 Notarra is currently free. If we add paid features later, we will clearly explain pricing and terms before you pay.
9.2 If payments are processed by Apple or Google, their store terms and refund policies apply.
9.3 Taxes and fees (if any) are your responsibility, as required by law.
10. Termination and Account Deletion
10.1 You can leave anytime. In the app, go to Profile → Delete Account → Slide to Confirm. This permanently deletes your account and all your content. This cannot be undone.
10.2 You can also email contact@notarra.com to request deletion. We will verify your identity and delete your data within 7 business days.
10.3 We may suspend or terminate your account if you violate these Terms, create security risks, or abuse the service.
10.4 After termination or deletion, your access ends, and your data is deleted according to our Privacy Policy.
11. Disclaimers and Warranties
Important: Please read this section carefully.
11.1 Notarra is provided "as is" and "as available." We do not promise the service will be error-free or always available.
11.2 We do not give warranties of any kind (express or implied), including warranties of merchantability, fitness for a particular purpose, or non-infringement.
11.3 Data Loss: We take strong steps to protect data, but data loss can still occur (for example, device failure, user deletion, or third-party outages). Please keep your own backups of important information.
12. Limitation of Liability
12.1 To the fullest extent allowed by law, we (and our developers, officers, and partners) are not liable for: lost profits, lost data, loss of goodwill, or indirect or incidental damages.
12.2 Our total liability for any claim related to the service will not exceed the greater of:
- the amount you paid to us in the 12 months before the claim (often $0 if the app is free), or
- $50 USD.
12.3 Some places do not allow limits on certain damages. If your local laws apply, the above limits apply only to the extent allowed by those laws.
13. Indemnification
13.1 You agree to defend, indemnify, and hold harmless us and our partners from any claims, losses, damages, or costs (including reasonable legal fees) arising from:
- your use of Notarra,
- your content, or
- your breach of these Terms or violations of law.
14. Dispute Resolution and Governing Law
14.1 These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict-of-law rules.
14.2 Before filing a claim, please contact us at contact@notarra.com so we can try to resolve the issue informally within 30 days.
15. Arbitration Clause
Important: This section affects your legal rights. Please read carefully.
15.1 Agreement to Arbitrate: If we cannot resolve a dispute informally, you and we agree to binding arbitration (a private way to resolve disputes without a judge or jury).
15.2 Rules and Venue: Arbitration will be conducted by a recognized arbitration provider under its rules. Unless we both agree otherwise, the arbitration will take place in Missouri, USA, or by video/phone if in-person is not practical.
15.3 Class Action Waiver: You and we agree that each may bring claims only in your or our individual capacity, not as a class action or class arbitration.
15.4 Small Claims Option: Either party may bring an individual claim in small claims court instead of arbitration, if the claim qualifies.
15.5 Opt-Out: You may opt out of this arbitration clause by emailing contact@notarra.com within 30 days of first accepting these Terms. If you opt out, the rest of the Terms still apply.
16. Changes to Terms
16.1 We may update these Terms to reflect new features, security improvements, or legal changes.
16.2 If we make material changes, we will notify you by email and/or in-app notice. The "Last Updated" date shows when changes take effect.
16.3 If you do not agree to the updated Terms, you should stop using Notarra and delete your account.
17. Severability
17.1 If any part of these Terms is found invalid or unenforceable, the rest of the Terms will still apply.
18. Entire Agreement
18.1 These Terms, together with our Privacy Policy, are the entire agreement between you and us about Notarra. They replace any older agreements or understandings.
